甲方在_________市决定设立分公司经营甲方所开展的各项业务。现乙方向甲方商议承包经营甲方在_________所设立的分公司，甲方对此表示同意接受。为了明确甲、乙双方责、权、利的关系，保障甲、乙双方的合法权益。为此，特制订本合同条款如下：
一、乙方自然人承包经营甲方在_________所设立的分公司，在甲方领导下开展各项工作，乙方在经营期间遵守国家的法律法规和各项政策规定。
二、乙方在承包经营_________分公司的全部资金由乙方自筹(含分公司申请执照时所需的费用、房租等等)，乙方在分公司内所添置的各项设备、家具用具和所有财产属乙方所有。
三、乙方有独立经营自主权，但不得违反本合同的各项规定，不得超出工商管理部门和甲方的授权范围开展各项经营活动。
四、乙方有人事聘用权，但乙方必须严格遵守劳动法的有关规定，在与员工签订劳动合同时需经甲方法人签字盖章后为有效，乙方在与甲方的本合同期满前应妥善处理好员工的分流问题，否则造成不良后果由乙方承担全部责任。
五、乙方的财务为非独立核算单位。wwW.HtFBw.cOM必须由甲方认可的并持有上岗证的专职会计担任分公司会计职务，会计受甲方领导，乙方在经营期间不得违反税法和会计法强行要求会计不记实帐和虚开发票等违法行为，由此造成的损失由乙方承担全部责任，并交给甲方财务分析报告壹份。会计在聘用或辞退时应经甲方同意后方可办理有关手续。
六、乙方所开展的各项业务必须是与甲方相关的业务，其每笔业务都必须与甲方发生往来，不得与甲方有相同业务的单位发生往来合同;分公司成立后，甲方不直接与分公司区域内的客户发生销售关系，而只能帮助分公司解决技术上的问题和将客户交由分公司处理。分公司对外签订的合同只有乙方本人签字后方为有效。每份合同都必须报甲方备案。
七、乙方为配合甲方在全国开展业务，可在甲方业务范围内进行联系。如果乙方能在某一区域开展工作，在经甲方同意后可单独授权交乙方经管，甲方只帮助乙方努力培育市场。
八、甲方在遵守国家法律和法规的前提下，为乙方做好各项服务指导工作，定期提供给乙方经营策略和分公司发展业务的新思路。
九、甲方为了给乙方做好各项服务工作，甲方指定以下人员为工作联系人。
财务：_________;业务：_________;技术_________。乙方在工作需要时与工作联系人联系咨询解决相关问题，如有变动甲方另行通知，以保证乙方的业务顺序开展。
甲方只确认由乙方本人签字盖章后所提交的各项业务表单为有效表单。
十、甲方有权不定期的检查乙方的财务帐目和业务合同执行情况，有权与乙方所聘的员工谈话了解分公司各项情况。
十一、甲方在乙方的各项业务往来中的有关价格和完成时间均由双方根据当时实际情况协商确定。
十二、乙方在对外宣传时应注意甲方公司形象，其组织的大型推广宣传计划需经甲方同意后方可实施。甲方对乙方可行的宣传计划将全力支持，其费用由乙方承担。
十三、乙方在与甲方签订的合同生效之日起应预缴甲方保证金_________元整作为为税款保证金(乙方在本合同签字之日起一个月内交给甲方);合同期满或双方同意中止合同时退回。甲、乙双方按事先商定的价格购买上网卡和ip卡等，其它合作项目如有收益由双方商定另行分配。

十五、甲、乙双方任何一方违反本合同之任一条款，都视为违约，守约方有权随时终止本合同并要求违约方赔偿损失。

商店摊位租赁合同
